Jennifer Romig advises clients on complex transactional, enforcement and regulatory matters within the health care and digital health industries, and has established herself as an expert on data privacy and cybersecurity issues. These issues are timely and critical, as companies and government bodies across the globe now grapple with ways to use and protect the health and financial information of their customers and constituents. 

Timothy Throm, now corporate counsel with Alcon, met Romig when she was on secondment in the legal department of medical device manufacturer Stryker, acting as division counsel. Throm was relocated to Stryker's office in Chicago to assume Romig's responsibilities as she neared the end of her temporary assignment with the company. During this time, Throm worked closely with her, and was impressed with what he saw.

"Jenn demonstrated both sophisticated knowledge of the law and industry, and an ability to connect with the new company and the larger Stryker legal team," Throm said. "As part of her work, Jenn brought the newly acquired company up to speed on compliance with applicable laws and regulations, and worked with them to analyze potential new areas of risk that arose in connection with their acquisition. Jenn also worked with the company’s demanding sales team to negotiate new customer contracts, and helped the company acclimate to Stryker culture and procedures."

Stryker's new acquisition brought up many important questions regarding data usage, data management, privacy and cybersecurity. No matter how complex the question, though, Romig tirelessly dug into the issues to provide strategic counsel and guidance. 

Throm said that he and Romig negotiated hundreds of contracts concerning data usage on behalf of the newly acquired division, and worked to ensure that the business remained in compliance. "Jenn's deep experience advising on a broad range of regulatory issues truly helped the company develop new business, integrate into the Stryker culture and pave a path to its success," Throm said. "Jenn knows how to make her client's life easier. She is an exceptional attorney. I am certain that Jenn and I will continue to partner together in the future."

Romig's work with Stryker is just one example of her legal skill. She also regularly advises on regulatory matters as part of private equity or other transactions. For example, Romig acted as regulatory counsel in negotiating a joint venture agreement between Change Healthcare Holdings, a portfolio company of Blackstone, and McKesson's technology services business. Romig also advised on regulatory matters relating to New Mountain Capital's majority investment in a combination of IMA Consulting and Revint Solutions. And she acted as regulatory counsel advising CIOX Health in its acquisition of ArroHealth, a provider of chart retrieval and risk adjustment services for health plans – an acquisition that involved a number of complex regulatory issues. 

Romig also frequently represents clients involved in security incidents and data breaches, often where the health or personal information of patients and customers is exposed. Companies and medical providers turn to Romig because she has a history of earning the best possible outcomes for her clients. During her career, Romig has represented managed care plans, practice management companies and a provider organization network in connection with HIPAA breach investigations by the U.S. Department of Health and Human Services' Office for Civil Rights. She has also represented electronic medical record companies, practice management companies and providers during state attorney general investigations into security incidents involving sensitive personal information.
